Terms of service
The agreement between you and Ermaz LLC for using ScopeLock.
Who you are contracting with
ScopeLock is operated by Ermaz LLC, registered in Wyoming, United States. Payments are taken by Paddle.com Market Limited, who act as the merchant of record: Paddle sells the subscription to you, charges any tax due in your country, and issues your invoice. Your receipt will show Paddle.
What the service does
ScopeLock records changes to the scope of a project. You describe a change, give it a price and a number of working days, and send a link to your client. Your client approves, declines or asks a question, and the service keeps a dated record of what they decided and the exact wording they decided on.
What it is not. ScopeLock is a record-keeping tool. It is not a law firm and does not give legal advice. The contract check, the model scope of work and the clause wording it suggests are a starting point written from practice, not from the law of any particular country, and they have not been reviewed by a lawyer. Whether a record created here is enforceable where you live depends on your own agreement with your client and on local law. Take anything that matters to a qualified lawyer.
Your account
You sign in with a link sent to your email address. Keep access to that mailbox: anyone who can read it can sign in as you. Tell us at once if you think someone else has access.
You are responsible for what is put into your account, including anything your clients submit through an approval link.
Plans, prices and payment
There is a free plan covering one active project, with no card and no limit on change orders. There is one paid plan, $29 a month or $290 a year, for unlimited projects. Prices are in US dollars and exclude any tax Paddle is required to add. The price is shown before you pay.
A paid plan renews automatically, monthly or yearly depending on which you chose, until you cancel. You can cancel at any time from the billing portal inside the app, or by emailing us. Cancelling stops the next payment; your plan keeps working until the end of the period you have already paid for, after which the account moves to the free plan. Nothing is deleted when that happens.
If we change a price, we will tell you by email at least thirty days before it affects you, and you can cancel before it does.
Your data
Your projects, change orders and the approvals your clients give are yours. You can export them at any time and ask us to delete them. We do not sell data or use the contents of your projects to advertise anything. The privacy page sets out exactly what is stored.
The free contract check is different and deliberately so: the document you paste is never stored at all.
Availability
We aim to keep the service running and available, but it is provided as it is, without a guaranteed uptime figure. We may change or withdraw features. If we withdraw the service altogether we will give you at least thirty days to export your records.
Acceptable use
Do not use ScopeLock to break the law, to send unsolicited bulk email through the approval links, to impersonate somebody, or to attack the service or anyone using it. We may suspend an account that does, and will say why.
Liability
Nothing here limits liability for fraud, death or personal injury caused by negligence, or anything else that cannot be limited by law.
Beyond that, our total liability to you for any claim connected to the service is limited to what you paid us in the twelve months before the claim. We are not liable for lost profits, lost business, or a dispute between you and your client, including one where a record created here is disputed or found not to be binding.
Ending the agreement
You may stop using the service and cancel at any time. We may close an account that breaks these terms, or any account with thirty days notice, and will refund any period paid for but not used.
Changes to these terms
If we change these terms in a way that affects you, we will email you at least thirty days beforehand. Continuing to use the service after that means you accept the new terms.
Law
These terms are governed by the laws of Wyoming, United States. Your separate contract with Paddle for the payment itself is governed by Paddle's own terms.
